1. Service Provider and Contact Details

The Automio.ai Service is operated by ALLEO.NET Tomasz Grzesik, with the following address:

Złota Woda 44
26-025 Łagów, Poland

Tax identification number (NIP): 6572714873
REGON number: 366265315

For matters concerning the Service, contracts and complaints, contact us at contact@automio.ai.

Throughout this document, we use the terms “Service Provider” or “we”.

2. Scope of These Terms

These Terms of Use, referred to as the “Terms”, govern the use of the Automio.ai website and the applications, integrations, automations and artificial intelligence features available through it, collectively referred to as the “Service”. They constitute the terms and conditions for the provision of services by electronic means.

“Client” means a person or entity entering into a contract with us. “User” means an individual using the Service on their own behalf or on behalf of a Client. “Organisation” means a workspace within the Service where the Client manages User access, applications and connected accounts.

The Service is intended primarily for business use. This does not exclude the rights of consumers or of natural persons entering into a contract directly related to their business activity where that contract is not of a professional nature for them, as determined in particular by the scope of their business activity disclosed in the Polish Central Register and Information on Economic Activity (CEIDG). We refer to the latter as “Entrepreneurs with Consumer Rights”.

We make these Terms available free of charge before a contract is concluded, in a manner that allows them to be saved and reproduced. Individually agreed provisions and the terms of a particular order supplement these Terms, but may not restrict rights that cannot be excluded by contract.

3. Services Available

The Service provides access to applications supporting process automation, particularly in e-commerce, the connection of accounts with third-party services and the use of AI features.

Depending on the application, services may include data processing, task scheduling, making changes in connected systems, analysing and generating content, and providing access to a history of completed operations.

The scope of a particular service, required integrations, limits, billing arrangements and any restrictions are specified in the application description, pricing information or order made available before the service is activated. Having an account does not, by itself, provide access to all features.

4. Technical Requirements and Security

To use the Service, you need an Internet-connected device and an up-to-date browser that supports JavaScript and the necessary browser storage mechanisms. An active email address is also required to use an account.

Individual applications may require an active account with a third-party provider, access to its API and the granting of specific permissions. Additional requirements and compatibility limitations are presented in the description of the relevant feature before the contract is concluded.

Using online services involves risks such as compromised access credentials, malware and impersonation. Protect your login credentials, keep your software up to date and verify the authenticity of messages. Notify us promptly of any suspected unauthorised access.

5. Accounts, Organisations and Contract Formation

An account may be created by an adult with full legal capacity. A person acting on behalf of a Client should have appropriate authorisation, particularly to order paid services and share data.

During registration, provide accurate and up-to-date information, accept these Terms and complete the required verification steps. The contract for maintaining an account is concluded when registration is completed and the account is made available. It is concluded for an indefinite period.

A contract for a paid service is concluded once an order has been placed with an unambiguous acknowledgement of the obligation to pay and the Service Provider has confirmed acceptance of the order. We provide confirmation of the contractual terms, including these Terms, on a durable medium, such as an email.

We activate the service after receiving the required payment, unless the order specifies a different activation date, subject to the rules on commencing performance for a consumer before the withdrawal period expires.

Persons managing an Organisation grant and revoke permissions in accordance with the available roles. The Client should keep access permissions up to date, particularly when a User's relationship with the Client ends. Do not share your account login credentials with other people.

6. Acceptable Use

Use the Service in accordance with the law, these Terms, the application documentation and the permissions granted by the Client and the providers of connected services.

You must not submit unlawful content, infringe the rights of others, or use the Service for fraud, sending spam, distributing malware or gaining unauthorised access to data.

You must not circumvent security measures, limits or billing rules, disrupt the Service, deliberately overload the infrastructure or conduct security testing without first agreeing its scope with us.

Do not submit data or materials that you do not have an appropriate legal basis or authorisation to use. The prohibitions in these Terms do not restrict activities permitted under legal provisions that cannot be excluded by contract.

7. Integrations and Automations

Connecting a third-party account and activating an application authorises the Service to perform actions only within the scope of the permissions granted and the approved configuration. You may connect only accounts that you are authorised to manage.

Automations may perform actual operations in connected systems, such as changing prices, stock levels, shipping price lists or listing settings. Recurring and scheduled rules may run without approval of each individual operation if you configure them to do so.

Before activation, check the scope of operations, selected accounts and listings, schedule, time zone, values and limits. For bulk operations, we recommend first running a test on a limited set of data. Monitor the results and respond to error messages.

Disconnecting an integration or stopping a rule does not undo changes already made. Operations previously submitted to a third-party system may still be completed. Restoring previous settings is available only to the extent supported by the application and the capabilities of the third-party system; it may not reverse the effects of transactions carried out in the meantime.

The operation of integrations also depends on the availability, limits and changes of third-party services. Those services are subject to their own terms. The use of an integration does not exclude our liability for properly performing our obligations to the Client.

8. Artificial Intelligence Features

AI features support data analysis, content generation and the use of applications. Their operation may require data to be transferred to third-party providers to the extent described in the Privacy Policy and the information about the relevant feature.

AI outputs may contain errors, inaccuracies or incomplete information. Before using them, check their accuracy, lawfulness and suitability for the intended purpose. This is particularly important for content published for customers and instructions that result in changes to connected accounts.

AI responses are not a substitute for individual legal, tax, financial or medical advice. Do not use them as the sole basis for decisions that may significantly affect the rights or circumstances of other people.

Do not include passwords, tokens or API keys in prompts, documents or conversations with AI. Enter integration access credentials only in the settings designated for that purpose. Limit the data you provide to what is necessary for the task.

We do not guarantee that every AI output will be unique or eligible for copyright protection. These qualifications do not exclude our obligation to provide a service that conforms to the contract.

9. Fees, Subscriptions and Credits

The Service may offer free features, trial periods and paid services. Before an order is placed, we present the price or the method for calculating it, the scope of the service, the billing period, the payment due date and the available payment methods. Consumers are shown the total price, including applicable taxes.

If a service is subscription-based, we specify its duration, billing frequency and whether it renews automatically before purchase. Automatic renewal and recurring charges may take place only on the terms accepted when the order was placed.

You may cancel renewal before the next billing period begins by using the available account feature or emailing contact@automio.ai. Cancelling renewal does not shorten a period of access that has already been paid for, unless you request earlier termination or exercise a statutory right.

A trial period covers the features, limits and duration specified before activation. The end of a trial does not create an obligation to pay unless the Client previously accepted the terms for switching to a paid service.

If a feature is billed using credits, those credits are units of service usage within the Service. Before purchase or activation of the feature, we explain how credits are charged and used, including any expiry date, rules on carrying over balances and the treatment of failed operations for billing purposes. We do not apply previously undisclosed rules under which credits are forfeited.

Exceeding a limit may suspend task execution. Additional paid usage or automatic top-ups require a prior order or the Client's consent on specified terms.

Fees charged by providers of connected services are separate from Automio.ai fees unless the offer expressly states otherwise. Merely not using a feature or disabling a rule does not cancel a subscription. Nothing in this section limits statutory rights to refunds.

10. Rights to the Service and Materials

Rights to the software, interface, branding and materials made available by the Service Provider belong to us or the relevant rights holders. The contract entitles you to use the Service within the scope ordered, but does not transfer rights to its software.

The Client retains the rights it holds to the materials it submits. To the extent necessary to perform the service, the Client authorises us to store and reproduce those materials in IT systems, make technical modifications to them and transmit them to authorised Users and providers involved in performing the task.

This authorisation is for the performance of the contract and does not include publicly distributing the materials or using them in our advertising without a separate basis. The processing of personal data is also subject to the rules set out in section 11.

You may use the outputs you receive in accordance with the law and the rights of third parties. The mere generation of an output does not confirm that its use for every purpose will be permitted.

11. Personal Data and Confidentiality

The rules governing the processing of personal data are described in the Privacy Policy. Accepting these Terms does not automatically constitute consent to marketing, optional tracking technologies or other activities requiring separate consent.

Where we process personal data solely on the Client's behalf, we act as a processor. Before such processing begins, the parties should enter into a data processing agreement or accept data processing terms that meet the requirements of Article 28 of the GDPR. These Terms and the Privacy Policy alone do not replace such an arrangement.

The Client is responsible for establishing the legal bases for processing data that it submits or makes available through integrations, and for fulfilling its own obligations towards data subjects. This does not release the Service Provider from its legal obligations.

We use the Client's non-public information to the extent necessary to provide services, ensure security and comply with legal obligations. We restrict access to that information to authorised individuals and entities.

12. Availability and Liability

We provide services with due care, in accordance with their description and the contract. We provide the updates, including security updates, required to keep the service in conformity with the contract for the period required by the contract and applicable law.

The Service may experience interruptions due to maintenance, updates, failures or security incidents. We give appropriate advance notice of planned significant interruptions and, in the event of a failure, take steps to restore services.

We do not guarantee a particular business outcome, level of sales or the operation of third-party services independently of their providers. This does not limit obligations expressly undertaken in the service description, order or a separate agreement.

The Client is responsible for its own decisions, the data it submits and the configuration it approves. However, we do not transfer to the Client liability for errors in the Service or for our failure to perform, or improper performance of, our obligations.

Only in relations with a Client who is neither a consumer nor an Entrepreneur with Consumer Rights do we exclude liability for lost profits. This exclusion does not apply to damage caused intentionally or through gross negligence, or to liability that cannot lawfully be excluded.

13. Complaints and Conformity of Services with the Contract

You may submit a complaint to contact@automio.ai or to the address specified in section 1. Describe the problem, identify the service and provide details that allow us to respond. An operation identifier, the time of the incident and the error message may be helpful; do not send passwords or access keys.

We respond to complaints within 14 days of receipt, on a durable medium, such as email. In the case of a consumer, failure to respond within the statutory period means that the complaint is deemed accepted, in accordance with the law. A request for additional information does not extend the statutory period.

Consumers and Entrepreneurs with Consumer Rights may exercise their statutory rights in the event of failure to supply a digital service or its lack of conformity with the contract, including requesting that the service be brought into conformity and, in the cases provided for by law, obtaining a price reduction or withdrawing from the contract.

These rights are exercised at no cost to the entitled person, on the terms set out in the Polish Consumer Rights Act. Complaints from other Clients are handled in accordance with the contract and applicable law.

14. Right of Withdrawal

Consumers and Entrepreneurs with Consumer Rights may withdraw from a distance contract for a service within 14 days of its conclusion, without giving a reason, subject to statutory exceptions.

To exercise your right of withdrawal, simply send an unambiguous statement by email to contact@automio.ai. We do not require you to complete a form or submit a signed scanned document. To help us process your request, you may include the name of the service and the email address associated with your account.

To meet the deadline, it is sufficient to send your statement before the withdrawal period expires. You may also send your statement to the address given in section 1. This does not restrict other methods of withdrawal provided for by law.

If you expressly request that a paid service begin before the withdrawal period expires and subsequently withdraw from the contract, you may be required to pay a proportionate amount for the service provided up to the time of withdrawal, provided that the statutory requirements have been met, including informing you in advance about such a charge.

The right to withdraw from a contract for a paid service may expire after the service has been fully performed only if the statutory conditions have been met, in particular obtaining your express prior consent and your acknowledgement that you will lose that right. Simply activating an account or starting a subscription does not constitute full performance of a service provided throughout the entire period ordered.

We issue any refund due no later than 14 days after receiving the statement, using the same payment method used for the original payment, unless the entitled person expressly agrees to another method that does not incur any fees.

15. Access Restrictions and Breaches

We may temporarily restrict access to an account, application or integration where necessary due to an immediate security threat, reasonable suspicion of unauthorised access, unlawful use of the Service or a legal obligation.

If payment for a service is overdue, we may restrict access to that service after first requesting payment and allowing an additional period of at least 7 days, while respecting any statutory right the Client may have to withhold payment.

A restriction should be proportionate to its cause. We explain the grounds for the restriction and the possible ways to resolve the issue, unless disclosing that information would breach the law or compromise security. Once the cause has ceased, we restore access without undue delay. You may challenge the decision through the complaints procedure.

16. Ending Use of the Service and Data after Termination

You may terminate the account maintenance service at any time by submitting a request through the available account feature or by emailing contact@automio.ai. The rules for cancelling subscription renewal are set out in section 9. Deleting a User's personal account does not automatically terminate a contract entered into by a separate Client or delete that Client's Organisation.

We may terminate a contract for a material breach of these Terms if the breach has not been remedied despite a request to do so and a period of at least 7 days being allowed for remedial action. Termination without that period is possible where continued provision of the service would be unlawful or would create a serious and immediate security threat.

We give at least 30 days' advance notice of any planned discontinuation of a service. We maintain paid access until the end of the agreed period, unless continued provision is impossible for legal reasons or reasons beyond our control. If the service ends early, we refund the portion of the fee covering the unused period, as well as amounts paid for unused service entitlements that we can no longer fulfil. A refund does not exclude other claims the Client may have.

Before closing your account, you may request access to or an export of data to which you are entitled. We do not restrict statutory rights to retrieve content and data or to switch service providers. The method, scope of data and timeframe for making it available are agreed in accordance with applicable law and the data processing terms.

Termination of the contract may stop automations and result in loss of access to historical records. It does not undo operations previously performed in third-party services. We return or delete data in accordance with the law, the Privacy Policy and the data processing terms, subject to mandatory retention periods.

17. Changes to These Terms and the Services

We may amend these Terms due to changes in laws directly affecting the services, the need to adapt security measures, technical changes to integrations or the introduction of new features. We limit amendments to the scope justified by the stated reason; they do not apply retroactively.

We notify the Client of changes affecting an ongoing contract on a durable medium, such as email, at least 30 days before they take effect, specifying their scope, reason and effective date. Before that date, the Client may terminate the contract without an additional fee, with effect from the date the changes take effect; in that case, we settle the amount due for the unused, prepaid period.

This procedure does not authorise us to increase the price or reduce the purchased scope of a service during a period already paid for. A higher price for a subsequent period applies only after the Client's separate acceptance; silence alone does not constitute such acceptance.

Changes to a digital service that are not required to maintain its conformity with the contract may be made to adapt to changes in a provider's API, address security threats or improve functionality. For consumers and Entrepreneurs with Consumer Rights, such changes do not result in additional costs and are subject to statutory limitations.

If such a change has a significant negative impact on access to or use of the service, we provide the required information in advance on a durable medium. The entitled person may terminate the contract with immediate effect within 30 days of the change or, if later, notification of it, unless we allow them to retain the service without the change, in conformity with the contract and at no additional cost.

18. Final Provisions

Contracts are governed by Polish law. This choice of law does not deprive a consumer of the protection afforded by mandatory provisions that would apply in the absence of that choice.

Disputes are resolved by the courts having jurisdiction under applicable law. Consumers may also seek assistance from a municipal or district consumer ombudsman and use available out-of-court dispute resolution procedures. If a complaint is rejected, we provide the required information about the competent dispute resolution body and our position on participating in out-of-court proceedings.

Nothing in these Terms limits rights that cannot be excluded by contract. In the event of a conflict, the applicable legal provisions prevail.
